What is the process for registering a sole proprietorship with CEIDG? Simply choose the correct application on the website and then fill in the mandatory fields:

  • appointment of an authorised representative.

A correctly completed application will be verified and sent to the Central Statistical Office responsible for the tax office in your place of residence, and then to the Social Insurance Institution (ZUS). Approval of the application is equivalent to the commencement of business activity.

Registering a business – choosing a tax regime

  • tax calculated in accordance with the standard rules, i.e. using the 12% and 32% tax scales,
  • flat tax 19%,
  • a flat-rate tax on recorded income.

Until 2022, entrepreneurs could also opt for the tax card – this type of taxation is no longer available for new businesses.

Warning! The main form of taxation on income from business activities in our country is tax scale. Therefore, if you do not specify a particular method of income tax assessment, you will be subject to taxation under the general rules.

As a general rule, VAT deduction is obligatory for all entrepreneurs. It is a charge collected at every stage of the trade of goods and services. The following are subject to VAT: sales of goods and services in Poland, exports and imports of goods, intra-Community acquisitions of goods, and intra-Community supplies of goods. Registration for VAT must be made at least one day before the first transaction is made. This can be done online.

VAT taxpayers are divided into taxable and exempt categories:

  • registered VAT payer – pays VAT,
  • VAT-exempt taxpayer – is eligible for a VAT exemption based on the taxpayer’s status (sales limit of up to PLN 200,000) or the nature of the transaction (sales exempt from VAT under Article 43(1) of the VAT Act).

    The KRS, or the National Court Register, is a database consisting of three registers: for entrepreneurs, for insolvent debtors, and for associations, other social and professional organisations, foundations, and public healthcare institutions. Individuals running sole proprietorships and partners in civil partnerships of individuals do not have to apply for entry into the KRS.

  • Do I need a qualified digital signature to set up a business online?

    Not necessarily. You can submit the CEIDG application online using a wizard. Such an application must be submitted in person (not by a proxy) and signed – a qualified signature or a Trusted Profile is used for this. If you do not have either of these tools, you can sign the application in person or by a proxy at the office.

  • Can I run a business without registering with CEIDG?

    A business can be run as unregistered activity provided certain criteria are met. You can run unregistered activity if you are a natural person, do not operate within a civil partnership, and are not engaged in regulated activity (requiring permits or concessions). This is a minor earning activity, therefore revenue from unregistered activity cannot exceed the amount of the minimum wage in force for that year in any given month. Furthermore, only individuals who have not conducted business activity in the last 60 months can perform registered activity.

  • How to set up a sole proprietorship?

    A sole proprietorship (JDG) requires registration in the Central Register and Information on Economic Activity, i.e. CEIDG. Registration can be done online, on the biznes.gov.pl website. Before you do that, you need to choose a company name, the tax form for income, and PKD codes, and check if you need to pay VAT. JDG is the most popular business activity handled by Open Profit – during an online meeting, we will help you register your company stress-free!

  • What does company registration involve?

    Registering a commercial company requires the drafting of an agreement or articles of association, which is the document upon which the company will operate. You can establish a general partnership, limited partnership, limited liability company, and a simple joint-stock company online, via the S24 system. If the company agreement is made within the S24 system, the registration of the business in the KRS must be done in the same way. For companies established in the traditional manner, an application for entry into the National Court Register must be submitted through the Court Registers Portal.
